12. Other Terms
12.1 These Terms shall be governed by the laws of Finland excluding its choice of law provisions. All disputes arising out of or in connection with these Terms and/or the formation thereof shall be resolved by arbitration under the rules of the Arbitration Institute of the Central Chamber of Commerce of Finland by one (1) arbitrator. The arbitration proceedings shall take place in Helsinki, Finland. The arbitration shall be conducted and the arbitration award shall be given in English.
12.2 Neither Party shall have the right to assign its rights and obligations hereunder without the prior written consent of the other Party.
12.3 Medix shall have the right to change these terms and conditions or cease the production of Products or make amendments to the Products at any time without prior notice to the Customer.
12.4 Unless otherwise agreed in writing, the Customer shall be liable for all license, export, and other permissions and authorizations and costs thereof. The Customer agrees not to transfer or otherwise dispose of the Products or technical information obtained from Medix to parties, to whom such a passing breaches or may breach directly or indirectly the laws or export regulations of Finland, USA or other applicable country.
