2. General Obligations

2.1 Medix agrees to perform its obligations in a professional and a workmanlike manner. Medix agrees to ensure that the Products meet all agreed-upon requirements. Except as expressly specified in these Terms, Medix shall have no other obligations.

2.2 All orders shall be subject to separate written acceptance by Medix in order to be valid and binding. The following information should be included in each order: i) company name; ii) invoice address; iii) delivery address (street address); iv) contact person; phone and fax numbers; v) e-mail address; vi) VAT number if available; vii) transport method (in case of a courier shipment the account number with the named courier); vii) Product description or code; and Product quantity in milligrams (mg). All deliveries are shipped using either courier service or airfreight unless otherwise agreed. Handling charge of 50 €/USD is added to all orders of or below five (5) mg. Any changes to the accepted order shall be made in writing. In the event Medix agrees to change quantities in any accepted order less than five (5) working days prior to the informed shipping date, additional handling charge of fifty (50) euros (€)/USD ($) shall be debited.

2.3 If the Products are available in stock, Medix agrees to use reasonable efforts to ship such order within five (5) days from the acceptance of the order. If the Products are not available in stock, Medix agrees to use reasonable efforts to ship: i) orders up to one (1) g within three to four (3-4) weeks from the acceptance of the order; and ii) over one (1) g orders within four to five (4-5) weeks from the order. In the event the Customer has provided to Medix a forecast in separately agreed-upon manner, Medix agrees to use reasonable efforts to deliver such forecasted orders within five (5) days from the acceptance of the order. All delivery times are estimates only and Medix shall not be liable for any damages caused by delays.

2.4 The Customer shall be entitled to use the Products only for the further manufacturing of its own diagnostic devices, assays and similar products. The customer expressly agrees not to resell the Products without the prior written consent of Medix.

2.5 The Customer agrees not to repack the Products or remove any trademarks, trade symbols, or other logos or marks from the Products.
